These Terms and Conditions govern your access to and use of the Course A journalism production platform operated by journalrayo. By accessing or using the platform you agree to be bound by these terms. If you do not agree you must not use the platform.

Who operates the site and acceptance of the terms

journalrayo operates the Course A platform from its registered address at The Interchange, Oval Road, Camden Lock, London, NW1 7DZ, United Kingdom. The platform provides tools for editorial planning, newsroom reports, studio coordination, camera setup and structured workflows for news content. Your continued use of the platform constitutes acceptance of these terms in full. We may update these terms from time to time and will publish the revised version on the platform with the updated date shown above.

Eligibility and permitted use

You must be at least 18 years old and capable of entering into a binding contract under the laws of the United Kingdom to use the platform. The platform is intended for professional journalism organisations, educational institutions and authorised individuals engaged in news production. You may use the platform only for lawful purposes connected with editorial planning, newsroom reporting, studio coordination, camera setup and related news workflows. Any other use requires prior written consent from journalrayo.

Prohibited conduct

You must not use the platform to upload, transmit or store content that is defamatory, obscene, infringing, unlawful or that violates the rights of any third party. You must not attempt to gain unauthorised access to the platform, interfere with its operation, introduce malware or engage in any activity that could harm the platform or other users. Automated scraping, reverse engineering or circumvention of security measures is strictly prohibited. Breach of these rules may result in immediate suspension or termination of access.

Accounts, submissions and user content

Access to certain features requires creation of an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. When you submit content such as editorial plans, newsroom reports or workflow templates you grant journalrayo a non-exclusive licence to host, display and process that content solely to deliver the platform services. You retain ownership of your original content but warrant that you have all necessary rights to submit it. We may remove content that violates these terms without notice.

Ownership of site content, trademarks and permitted limited use

All intellectual property rights in the platform, including software, design, documentation and any proprietary workflows, remain the exclusive property of journalrayo or its licensors. The name Course A and associated logos are trademarks of journalrayo. You may not copy, modify, distribute or create derivative works from platform content except as expressly permitted for internal news production use within your organisation. Any permitted use must retain all copyright and trademark notices.

Third-party services and links

The platform may integrate or link to third-party services such as cloud storage providers, video encoding tools or external news databases. These services are provided by independent operators and journalrayo does not control, endorse or guarantee their availability, accuracy or compliance with data protection standards. Your use of third-party services is governed by their own terms and you should review them before use.

Availability, changes, suspension and termination

We aim to maintain high availability of the platform but do not guarantee uninterrupted access. We may modify, suspend or discontinue features at any time for maintenance, security or business reasons. We reserve the right to suspend or terminate accounts that breach these terms or that remain inactive for extended periods. Upon termination you must cease all use of the platform and delete any downloaded materials.

Disclaimers that remain subject to mandatory consumer law

The platform is provided on an as-is basis. To the extent permitted by law we exclude all warranties, whether express or implied, including fitness for a particular purpose. Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded under UK law including the Consumer Rights Act 2015.

Limitation of liability

Subject to the preceding section, our total liability to you for any claim arising from or in connection with the platform shall not exceed the fees paid by you to journalrayo in the twelve months preceding the claim. We shall not be liable for indirect, incidental, special or consequential damages including loss of data, revenue or business opportunities, even if advised of the possibility of such loss.

Indemnity

You agree to indemnify and hold harmless journalrayo, its officers and employees from any claims, losses or expenses arising from your breach of these terms, your submission of infringing content or your misuse of the platform.

Governing law, courts and consumer dispute rights

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that consumers resident in the United Kingdom may bring proceedings in their local courts and retain any mandatory rights under UK consumer protection legislation. Alternative dispute resolution options remain available where applicable.

Severability, waiver, changes, contact route and last-updated date

If any provision of these terms is found to be invalid or unenforceable the remaining provisions shall continue in full force. Failure to enforce any right shall not constitute a waiver of that right. We may amend these terms by publishing a revised version on the platform.
